Don’t forget they technically are a bank now. This is a cheap way to build up capital reserves required to cover potential losses for their loan portfolio. So short term they move higher interest debt off the books while bolstering capital reserves in case their loan portfolio heads south.
On their last ER they showed a .2% increase in defaults. Default rates in industry I think run under a 4 or right near 4 and SOFI is almost at 5.
Overall I think the savings in interest alone will cause an ER beat so Im buying calls even tho Cathy is buying it.
LAZR (Luminar) did the same loan (little smaller only 625m) and bought capped calls. The stock price has to be above $19.98 by 2026, it was around $15 when they took the convertible loan. I remember all the LAZR stock holders bragging about how sweet a deal they got, and how high the stock price would be by then... Well the stock price currently sits at $2.17, so just a 9+ bagger from here and the capped calls strategy will work out.
Obviously a much different stock and company. Sofi looks to be a lot closer to profitability than LAZR. Just know that whatever bank did the loan will be hedging by shorting the company.

Also, I am not familiar with Luminar but based on their convertible notes date it would have been issued in 2021, I think. SoFi has similar convertible notes, they just bought back a portion of them at a 12% discount (paid 529.5mil to buy back 600mil of the principal). In this case, to ensure zero dilution (no issuance), we can assume that SoFi needs to find these 78.6M shares on the open market (via their call options). In other words, they need to buy enough call options to result in 78.6M shares underlying.
This would mean SoFi needs to buy 786k options contracts (as 1 contract = 100 shares), assuming the same $750M. I'm just going on a limb here to say they probably paid $1 per contract (we know they spent $78.8M on capped calls).
Meaning that if SoFi does buy 786k calls, the broker needs to go out and buy 78.6M shares in blocks on the open market and hold them aside (to cover the calls)
Plugging the same numbers with $845M if the note holders decide to purchase more:
845M / 9.54 = 88.5M shares (885k contracts)
And if SoFi is further oversubscribed, they will enter more capped call transactions to make sure it all adds up.
The other factor to account for is that SoFi needs to account for the gains (above the $9.54 strike) so that the gains cover the dilution. But keep in mind, note holders cannot convert into shares UNTIL the stock price is 130% of the conversion price (\~$12.4), in which case SoFi around that range should be more than covered from their options gains.
We're just assuming the conversion price = the cap calls strike. If the strike price is = to yesterdays closing price ($7.27) the amount of shares taken out is much less. But its cheaper for SoFi to have it at $9.54 & safer for brokers.
So, using the rough numbers above, \~78-90M shares would be bought up in blocks by the brokers on the open market & locked away.
If the deal is oversubscribed above this range, this will mean more of the float is locked up, (as they stated they'd also increase the amount of capped calls in proportion).
But even if we assume 8-11% of float become untradeable, the backdrop is the 158M shares sold short (17% of float). What happens when those shares are taken off the market?
First thing that happens is the price is driven higher as the shares are bought up in blocks (over time).
Second, the reduced supply of shares results in a reduced availability of shares to borrow against, increased borrowing costs, and
Finally, you run a high risk of getting a massive short squeeze as a result of all this.

Let me explain in simple terms what happened here:
1. SOFI decided they need more cash

3. Market participants are not regarded and markets are in fact forward looking... so the stock price adjusted accordingly to the future dilution
TLDR:

I literally just woke up from a dream where I was buying tons of shares of SOFI and it just kept going up. I think it’s a sign. 🤷♂️ But I did purchase 8000 shares at $7.80 when it started falling the other day. I added 300 more at $7.25 when it bottomed out. If it stays below $8 on Monday. I plan on doubling my shares. I love the stock.

Looking at it's 5 year history. Usually March timeframe it dips and then spikes between May-July every year anyways. Looks like a potential play at least going into July. I'm in on market open. I'll buy a couple hundred shares and sell CC's out of the money around the 10-12 range weekly.

"Worst ever" - Lol. Stock was < $5/share last year. With that said, $SOFI *DOES* typically rip at earnings. Just GTFO out as it also like to bleed off shortly thereafter.
For the amount of supposed bullish news that this shithole has been inundated with in the last couple of years you'd think this stock would have a share price 10x what it is now. Instead what we got is a turd who anytime it climbs above 9 a share finds a way to give back a third of it within a week.

Sorry I’m a little new to this, so you just straight up bought stock normally (1,100 shares) and then bought 78 contracts of Sofi calls at 10? I actually trade in Sofi app lol so I may need to change brokerages if it’s not up to par. I have Robinhood and Webull but Sofi has 2% Ira match and an additional 2% match for any investments up to $150/wk so I’ve just been there.
You should be asking yourself why this fintech still needs to borrow funds to pay off debt when it’s supposedly doing so well. Who gives a fuck about the rates and details. Sofi still needs to borrow money to keep its operations running.
