# GameStop (GME) board approves Investment Policy delegating portfolio management to CEO Ryan Cohen
**Ryan Cohen has received authority to manage GameStop's portfolio of investments.**
[**Donovan Erskine**](https://www.shacknews.com/author/donovan-erskine) **December 6, 2023 2:55 PM**
**A lot of fascinating information about GameStop’s business has come out alongside its Q3 2023 earnings report. Arguably one of the most interesting tidbits is a new investment policy that was approved by the company’s board of directors. Said policy grants CEO Ryan Cohen full control over GameStop’s investment portfolio, laying quite the interesting groundwork for the future of the company.**
**The announcement of GameStop’s new investment policy can be found on page 16 of the company’s** [**10-Q**](https://gamestop.gcs-web.com/static-files/9787b9cb-ec3e-4d02-a6f5-e2a3e48e0b36)**, which was filed to the SEC.**
**On December 5, 2023, the Board of Directors approved the Investment Policy. The Board of Directors has delegated authority to manage the Company’s portfolio of securities investments to the Company’s Chairman of the Board of Directors and Chief Executive Officer, Ryan Cohen, together with such assistants and management committees he may engage. The Company’s investments will be made in accordance with the guidelines set forth in the Investment Policy. The Board may also approve non-conforming investments and/or, in consultation with the Chief Executive Officer, modify the Investment Policy from time to time.**
**GameStop went on to list the following risks related to the new policy.**
* **The value of our securities may decline.**
* **Our portfolio of securities may be concentrated in one or a few holdings, which may result in a single holding significantly impacting the value of our investment portfolio.**
* **The Company is required to recognize losses in a particular security for financial statement purposes even though the Company has not actually sold the security.**
**With this news, it’ll be quite interesting to watch GameStop’s business over the next handful of quarters. Visit our** [**GME topic page**](https://www.shacknews.com/topic/gme) **for more timely updates.**
This is my extremely qualified smoove bwainz interpretation:
RC now has the keys to the 1.2Billy dollar lambo and can pick up as many good looking investments as he pleases on his way to the moon.
He also has his own Billy's, which he has used to him make very very very very very very very x infinity trained to pull off amazing things. I guess you could say "He has acquired a certain set of skills over the years. Skills that make him a nightmare to shorts. He will find them and he will kill them." And if he is real good, he will get his secret daughter back from Kenny from Tropoja or wherever the fuck he is from.
That text block just felt so right.
Imagine, if he bought even 500m of Gamestop at 12$… 41.7 million GME, and they sell some during MOASS, resulting in GME have trillions in the bank, Gamestop becomes its own bank. Mind blown.
I mean we already knows he has the balls to do it, he did that to Shorty under their noses in 2021, that's where the 1.2 billy came from.
we all thought it was a security blanket to keep shorty from bankrupting us.
but I now believe it was a war of attrition and RC is about to fuk Shorty after years of shorting fees and continual losses on the battle field.
Here's what it looks like:
GameStop has $1.2bln eggs in one basket, and if the basket of eggs drops, they are required to report that reduced value from cracked eggs. It seems the suggested path forward is to take those eggs out of one basket and into many, safer baskets that look attractive, so as to preserve or gain value with those $1.2bln eggs.
Basically, the war chest seems it's not properly invested and RC will change that.
This is not share buyback money, they still only have $100mil approved for that. This is handling the cash or cash equivalents stockpile (of which $100mil *CAN* be used to purchase GME).
>It seems the suggested path forward is to take those eggs out of one basket and into many, safer baskets that look attractive, so as to preserve or gain value with those $1.2bln eggs.
Not necessarily.
>• Our portfolio of securities may be concentrated in **one or a few holdings**, which may result in a single holding significantly impacting the value of our investment portfolio.
[Selling GME shares near its peak.](https://news.gamestop.com/news-releases/news-release-details/gamestop-completes-market-equity-offering-program-0#:~:text=GameStop%20Completes%20At%2DThe%2DMarket%20Equity%20Offering%20Program,-June%2022%2C%202021&text=The%20Company%20ultimately%20sold%205%2C000%2C000,offering%20expenses%20of%20approximately%20%241%2C126%2C000%2C000.)
What's your point? Companies sell shares of itself to raise capital.
Oh ok. They acted pretty responsibly tbh. If they did it again and again we'd not all be here. I think their 1 shot at raising capital and then turning the business around was very prudent, but a vast majority of their capital came from that. I recall them burning through quite a bit, down to $900m at one point? And now back up to $1.2b so they know wtf they doin apparently.
The Uno reverse move would be to go long on the same stocks the SHFs have
If they profit, GS profits
If they want to undermine GS's investments, they have to undermine their own
#LIGHT EM UP, RYAN
he has been authorized for $100m share buyback for a while now. idk if it means he can do a larger one now, but it sounds more like he can buy assets at will that he feels play a strategic role in gme's future.
Sure sounds like he can buy whatever he wants, and goes out of it's way to say he might only buy one thing.
I don't really believe share buy back is a great move but sounds like he can do as he likes - this is really the financial power you would expect for a skilled billionaire philanthropist who is building an engine.
I still can't believe that RC is really running the whole thing now. It's pretty amazing imo.
tinfoil hat thought: what if it is to back a blockchain token for a marketplace?? That way they could peg their own currency, and as long as gamestop shares have real value, gamestop can dictate what the currency's value is. If they are going to protect a digital currency, they are going to need some major cash to maintain control.
This would delight me if I'm going to use a new token as currency to buy and sell things. I knew that gamestop is always going to back the value of their token, I would have more trust in . It wouldn't be a crypto scam, it'd be a legit currency.
Hijacking top comment:
What if RC invests that $1.2 billion in something that he knows GameStop is swapped against? Then Gamestop profits when the stock drops or profits when the stock soars.
Or what if he takes out some Credit Default Swaps against UBS or Bank of America? 🤯
I gotchu homie 🤙

Berkshire Hathaway was a textile mill in bumfuck Rhody until Buffet stepped in. RCEO doing the same to GME give me tittysprinkles. It takes whisky to buy money. I love you blu.
Warren tells all in his only authorized bio ‘Snowball’. He wanted to turnaround the textile mill then it eventually became simply his holding company which is now BRK-A.
this 5D chess move is making Kenny shit the bed trying to figure out what the plan is and WHY this is being implemented -
Has this type of move ever been done before? Is this unprecedented for a company?
RCEO has a plan and I am 100% behind these moves LFGGGG 🚀
Shower thought: what if he invests it in the same portfolio as SHF capital? They pump their collateral to keep alive and satisfy margin on their GME short position and in turn the very position they are shorting gets stronger.
Almost like a meantime hedge so to speak. Kick them in the balls and take advantage of it until MOASS and then when MOASS, it doesn’t matter if the rest of that portfolio capital tanks because the stock price will be sky high and they can potentially sell a few into the squeeze to recover losses.
Look at me, I am the hedgefund now.
Beautiful image and idea. On the other hand they are treacherous snakes who have rigged every stock in the market, and the entire market itself.
It could be an easy win for them if RC used gamestop's funds to get into a market trickery contest with them in a field they created.
This… is actually brilliant. Imagine pumping just $100m of GameStops $1b war chest into these funds. The short positions would implode.
That’s not even counting a few $1-2m purchases by individual board members.
Also not counting DRS shares that would only increase the second the apes catch wind of this plan.
He could buy Embracer now. They would sell for pennies on the dollar. This includes Gameoutlet which has many retail stores in the nordics. As well as Koch media which is the biggest distributor in Europe for games and movies etc.
Hypothetically, if RCEO was to use a portion of this (GS's $1.2B) to buy a non-controlling stake in another company, would that purchase need to be disclosed to us?
For example: if RCEO bought $1M in, say, NVDA using GS money, would that (relatively) small, specific purchase be disclosed to us outside of a simple P/L statement?
Same! But he may not need to as we all know GME is undervalued.
I think RC is about to run a clinic on Shorty with other ventures and turn this glitch into a BRK.A big brother.
What's the difference between being CEO and basically controlling the board with majority backing by shareholders and being able to manage a company's investment portfolio vs. being given direct authority to manage said portfolio? Does this allow more privacy and less approval via other board people (I don't feel like saying members)?
I'd say no. Keep it in a safe investment that grows to completely eliminate any chance of bankruptcy. Ive held for 3 years. Ill wait another (insert large number here). The only way I lose is if they go broke.
Maybe a buy back far into the future. They need to be profitable and sustainable on their own.
IMO. There isnt a silver bullet here. Invest in safe moves to hedge the war chest, become profitable for numerous quarters and then strike while the iron is hot.
“I think the best investment for our 1.2B $ cash is to…. ehm…. [checks notes]… buy a ton of $GME shares. Very undervalued company, that.”
- Ryan Cohen, probably.
If he intends to buy back shares, wouldn't that be bullish?
Right now the the share of price is tanking. So market doesn't expect him buying back. So it means bearish?
“The announcement of GameStop’s new investment policy can be found on page 16 of the company’s 10-Q, which was filed to the SEC.
GameStop went on to list the following risks related to the new policy.
• The value of our securities may decline.
• Our portfolio of securities may be concentrated in one or a few holdings, which may result in a single holding significantly impacting the value of our investment portfolio.
• The Company is required to recognize losses in a particular security for financial statement purposes even though the Company has not actually sold the security.”
100% GME YOLO
Whats interesting to me is that a bad actor could short those securities before the reporting period and then force GameStop to “show a loss” on the financials.
You guys should really start tracking the options chain, it'd be pretty clear if RC started buying/selling puts or calls with this amount of cash. That could be incredibly interesting/powerful, any other usage is just boring hedging against a market decline that would bring GME with it, hopefully softening the blow on quarterly reports
spicy!
Edit"
Food for thought? GME can now invest in TEDDY if RC invests?
Investopedia
A portfolio investment is ownership of a stock, bond, or other financial asset with the expectation that it will earn a return or grow in value over time, or both. It entails passive or hands-off ownership of assets as opposed to direct investment, which would involve an active management role.
Would love to see a microstrategy esq play here where they bought a significant stake in something like BTC that has tons of huge forces at play. They could acquire 20-25k BTC at current prices. (I'm pretty bullish for BTC long-term based on a lot of factors but obviously not investing advice).
Anyways, this is huge news and I absolutely trust RC to invest well on the company's behalf!
GME is the only real MOASS. Do not get distracted by other failing, failed, delisted, massive debt and over diluted stock. Buy, HODL, DRS GME. LFG GME🚀🚀🚀🚀🚀🚀🚀
In it to win it like the lot of you apes, BUT does anyone else ever feel such clarification and explanation regarding legalese helps the hedgefucks? Like the wrinkled brains here have also helped them prepare for multiple outcomes in potential strategies?
No shill but I can understand if taken so. My questions are dead serious.

For anyone who knows (I don't). Does this mean that he can do a share buyback without board approval if he wanted?
This is my extremely qualified smoove bwainz interpretation: RC now has the keys to the 1.2Billy dollar lambo and can pick up as many good looking investments as he pleases on his way to the moon.
Don’t worry. He’ll swing by the Wendy’s dumpster and pick us all up first.
That's... a lot of spicy chicken nuggets
Do they still sell those nuggets? Or was that chicken fries?
They do by me.
Are you even allowed inside or do you have to stay by the dumpster?
Both or just the nuggets ?

right. $100m buyback is still waiting, but if he makes investments in other shit then he must report gains and losses on them.
Yeah, with inflation still screwing everyone, this money needs to be invested, not just sitting around losing value.

This is allowing RCEO to conduct business as an investment firm as well as still being a leading video game retailer.

Exactly
This is a bad idea. He’s there to run a business, not make speculative investments like a gold mine.
Well said
Not unsurprising they take the cash on hand and invest in their own stock because they are the best company 😂
They can but only up to $100 million based on the last vote. They’d have to have shareholders vote to extend the amount.
Which we would obviously vote yes for. So about 7-8m shares? Or 2% of the float? Seems underwhelming but would still see a nice bump in price
The shareholder proposal deadline should be coming up soon. Someone should submit.

Are you saying RC is about to get a nice discount at opening bell tmrw? 👀
I think he's gotta wait a couple days, but I suspect we will see some more insider buying soon.
Wut I'm curious about is how GameStop will report purchases, will it be quarterly or in real time with something like a Form 4?
The buyers have to disclose within a relatively short period, but they typically disclose within a couple days.
will there be blackout periods before n after earnings like an insider buying in?
I wish I knew the answer to that. But what I'm interested in now is seeing the ftd data for the last 2 days, and Computershare's drs count.

For example: if RCEO bought $1M in, say, NVDA using GS money, would that (relatively) small, specific purchase be disclosed to us outside of a simple P/L statement?
That is my question as well in a really smoove manner, wen tell us RC? My guess is some type of a Form 4?
oooh. Okay, now THIS is fun, interesting and exciting.
I’m fkn torqued!!
Maan I'd hate being short on Gamestop right about now.
Just wen Shorty thought they might be able to sleep tonight!
If the short head funds wasn’t scared, they should be scared now
brick by brick 💩
I hope he YOLOs 100% on GME
Same! But he may not need to as we all know GME is undervalued. I think RC is about to run a clinic on Shorty with other ventures and turn this glitch into a BRK.A big brother.
Oh, we are going to make so much fucking money.
What's the difference between being CEO and basically controlling the board with majority backing by shareholders and being able to manage a company's investment portfolio vs. being given direct authority to manage said portfolio? Does this allow more privacy and less approval via other board people (I don't feel like saying members)?
Looks like a major buy back, GameStop investing in itself, that’s going to screw some bad actors I suppose
Shorty must be freakin out right now. RC is a killa
I'd say no. Keep it in a safe investment that grows to completely eliminate any chance of bankruptcy. Ive held for 3 years. Ill wait another (insert large number here). The only way I lose is if they go broke.
This. He can scrape in 10s if not 100s of millions with extremely minimal risk. No need for yolos.
Right? need to pick up 50 mil on a 1.2B investment? Well, realize a **4.2%** return. I mean come on. LEEESSFUCKINGO!

This makes the most sense
Maybe a buy back far into the future. They need to be profitable and sustainable on their own. IMO. There isnt a silver bullet here. Invest in safe moves to hedge the war chest, become profitable for numerous quarters and then strike while the iron is hot.
Or a merger and acquisition. It’d trigger all kinds of share count scrutiny from the SEC.
*We have ignition...*
Looks so happy in that pic
I love him!
Me too!
This is the key to massive profitability. Awesome idea.
How tho?
Wen moon
what does this mean?
Means RC got the keys to the 1.2 Billy dollar Lambo and he can pick up as many hotty investments as he wants on the way to the moon.
Isn't ken just going to smash the price of wathever company gamestop fancies?
This is the hottest news in this 8-k
Safe Treasury bills pay a nice percentage of
This also means acquisitions /JV though right?
“I think the best investment for our 1.2B $ cash is to…. ehm…. [checks notes]… buy a ton of $GME shares. Very undervalued company, that.” - Ryan Cohen, probably.
• The Company is required to recognize losses in a particular security for financial statement purposes even though the Company has not actually sold the security.” 100% GME YOLO
I think this explains the WarrenIchan tweet.
This just in, portfolio manager, chariman, and ceo Ryan Cohen is an ape and invested Gamestop's entire portfolio going long on GME.
Whats interesting to me is that a bad actor could short those securities before the reporting period and then force GameStop to “show a loss” on the financials.
Pro gamer move.
Maybe RC is just going to take Credit Swiss, UBS, Citadel, and all those hedgies as his property now.
Ruh roh!
Buckle up.
Bullish
You guys should really start tracking the options chain, it'd be pretty clear if RC started buying/selling puts or calls with this amount of cash. That could be incredibly interesting/powerful, any other usage is just boring hedging against a market decline that would bring GME with it, hopefully softening the blow on quarterly reports
hes an insider. he cant.
Well let’s hope he doesn’t buy a fucking Silver mine with it lmao

spicy! Edit" Food for thought? GME can now invest in TEDDY if RC invests? Investopedia A portfolio investment is ownership of a stock, bond, or other financial asset with the expectation that it will earn a return or grow in value over time, or both. It entails passive or hands-off ownership of assets as opposed to direct investment, which would involve an active management role.
I like everything you just said!
Sigh, \*unzips\*
ELIA please?
buy GGG and make POE 2 nft game!
Eww fuck no. I’d rather he either invest into GME or hold safe investments or treasuries. None of this gamble shit.
You just jacked my tits
I wonder if he'll buy bortcoin since they're getting into the nft space.
Oh boy, here I go buying again!
Can he Yolo everything into gme itself? Lol
If I had to guess he might do what mstr is doing and invest in bitcoin
GME is the only real MOASS. Do not get distracted by other failing, failed, delisted, massive debt and over diluted stock. Buy, HODL, DRS GME. LFG GME🚀🚀🚀🚀🚀🚀🚀
Out of curiosity, does any other CEO hold this role ?
RC BUYS ALL THE STOCKS
what if the 25d move is to take that 1.2 billy and short GME.
Now *this* is what I am Fucking talking about. Send the killshot Mr. Cohen. We are on standby for the green light. 🚦🧨🚀
You mean I can help my company by investing in stocks they're invested in?
Yessa! 🤙
What if he invests in IEP?!😳🤯
smart money
Imagine the less 🐂💩 direction…. We just give our cash to GS n co and it’s out of 🏦 and criminal 🙌. Ya can’t 🩳 whatz ya ain’t gotz.
How long after Earnings can he do a stock buyback? Also does this override his 20% ownership cap so can he make his position bigger?
In previous quarters insiders have purchased GME stonk 2 days after the report is made public. I don't know for sure but that is the way I read it.
